Blackstone bought Clarion from Providence Equity Partners in 2017 and owned the business through the Covid pandemic, when live events were largely suspended.<\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><br>Announced on Tuesday, the acquisition is expected to close in the fourth quarter of 2026. The price values Clarion at 11.1 times its projected 2027 EBITDA. Informa expects Clarion to generate more than \u00a3575 million ($761.6 million) in revenue in 2027. The deal includes Clarion\u2019s <strong>WorldGaming business and its flagship ICE and iGB L!VE events,<\/strong> as well as brands in sectors such as defence and electronics.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><br><strong>Deal supports Informa\u2019s live-events strategy<\/strong><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Informa CEO Stephen Carter said the acquisition would help the company return to its ambition of becoming the world\u2019s largest B2B live-events business. Informa also plans to spin off its academic publisher, Taylor &amp; Francis. In a video posted to LinkedIn, Carter said: <em>\u201cThat will leave the Informa Group pursuing the strategy that we first laid out in 2013 to build a position in B2B live events and become the leading, the largest and the most international live events business anywhere in the world.<\/em><\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><em><br>\u201cThe addition of the Clarion company will give further oxygen and capability to our existing portfolio,\u201d<\/em> he said, pointing to gaming as one area where Clarion has a strong market position. <em>\u201cThe combination will underscore Informa as the UK-listed, international leader in B2B Live Events, with annual group revenues exceeding $6 billion and underlying revenue growth of 7%,\u201d <\/em>he explained. Alex Pratt, managing director of Clarion\u2019s WorldGaming business, welcomed the deal.<em> \u201cInforma\u2019s data, digital capability and international reach are exactly what our live and digital ecosystem needs to go further, faster,\u201d<\/em> he said.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><br><strong>Informa targets further B2B growth<\/strong><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">After the acquisition, Informa expects its B2B live-events division to generate more than \u00a34.2 billion in revenue across around 1,000 specialist brands. The company said <a href=\"https:\/\/clarionevents.com\/\" target=\"_blank\" rel=\"noreferrer noopener nofollow\">Clarion<\/a> would strengthen its geographic reach across <strong>North America, Asia and Europe. <\/strong>It also sees room to grow in<strong> India, the Middle East and Africa (IMEA)<\/strong>, where Clarion currently has a \u201cminimal presence\u201d.<strong> \u201cThe addition of Clarion will reinforce Informa\u2019s leading position in B2B Live Events, adding world-class brands in attractive growth categories,\u201d<\/strong> Informa\u2019s release stated.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><em><br>\u201cThe complementary portfolios and benefits of combining Clarion\u2019s brands into Informa\u2019s growth platform will create significant opportunities for incremental revenues, establishing the enlarged B2B Live Events business as a 7%+ underlying growth operator.\u201d<\/em><br>Informa expects to achieve about \u00a350 million in annual operating synergies by combining operations, procurement, shared services, event delivery and corporate functions. We have built a portfolio of market-leading brands, established strong positions in attractive markets and created a culture that is recognised across our industry. Informa\u2019s decision to invest in Clarion is a recognition of the quality of our business, our brands and our people. This is a moment to recognise the outstanding contribution of our teams. Their passion, expertise and commitment have helped build the successful business that Informa is investing in today.\u201d<\/em><\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><br><strong>How Informa will fund the acquisition<\/strong><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\"><a href=\"https:\/\/www.informa.com\/\" target=\"_blank\" rel=\"noreferrer noopener nofollow\">Informa <\/a>will<strong> pay for Clarion in cash<\/strong>, using dedicated acquisition financing and the net proceeds of an equity placing and retail offer worth about \u00a3940 million. The company expects pro forma net debt to remain below three times EBITDA at the end of 2026, falling below 2.5 times by the end of 2027.
